Welcome to TMAwallet (“TMAwallet,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our services, including our Wallet-as-a-Service platform, Telegram mini app integrations, website at https://tmawallet.com (“Website”), and any related services provided by TMAwallet (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Notice (collectively, the “Agreement”). If you do not agree, you may not use or access the Services.
Acceptance of Terms

Binding Contract: By creating an account, accessing, or using TMAwallet, you represent that you have read and understand these Terms, and you agree to be bound by them. If you are using the Services on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.
Eligibility: You must be at least 18 years of age or the age of majority in your jurisdiction (whichever is older) to use the Services. By using TMAwallet, you represent and warrant that you meet these requirements.

The Services

Wallet-as-a-Service: TMAwallet provides technology that enables you to create and manage digital wallets through Telegram mini apps or other integrated platforms. TMAwallet does not provide custodial services; you remain responsible for managing your private keys and wallet access unless otherwise stated.
Third-Party Services: The Services may integrate or interact with third-party applications, platforms, or services (“Third-Party Services”). Your use of such Third-Party Services is subject to the terms and conditions of the respective providers. We do not control or endorse any Third-Party Services and are not responsible for their operations or security.
Service Modifications: We reserve the right to modify, suspend, or discontinue the Services or any part thereof at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

User Accounts

Account Creation: To access certain features of TMAwallet, you may be required to create an account or link your Telegram profile. You agree to provide accurate, current, and complete information when creating an account and to keep your account information up to date.
Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to promptly notify us if you suspect any unauthorized access to or use of your account.
Account Termination: We reserve the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms or any other reason in our sole discretion.

User Conduct

Prohibited Activities: You agree not to engage in any of the following prohibited activities:

Violating any applicable laws or regulations.
Engaging in fraudulent, deceptive, or manipulative activities.
Attempting to access or interfere with other users’ accounts or the Services’ security.
Transmitting viruses, malware, or any other harmful code.
Reselling, redistributing, or sublicensing the Services without our express written consent.

Compliance: You agree to comply with all applicable laws, rules, and regulations, including those related to data privacy, anti-money laundering (AML), and countering the financing of terrorism (CFT). You are solely responsible for any compliance obligations that may arise from your use of the Services.

Intellectual Property

Ownership: All content, trademarks, service marks, and intellectual property (“IP”) related to TMAwallet or the Services are owned or licensed by TMAwallet. Nothing in these Terms grants you any license to use our IP unless explicitly stated.
User Content: By submitting or posting any content through the Services, you grant TMAwallet a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, and distribute such content as necessary to operate and improve the Services. You represent and warrant that you have the right to grant this license.

Fees and Payments

Fees: Some features or Services may require payment of fees. Any applicable fees will be disclosed before you incur them. You are responsible for all fees associated with your use of the Services, including any blockchain network fees (e.g., gas fees).
Payment Terms: If you elect to use paid aspects of the Services, you agree to the applicable pricing and payment terms. TMAwallet may add or modify fees at any time, and any such changes will be communicated to you in advance.
Refunds: All fees are non-refundable unless otherwise required by law. Any refunds granted are at our sole discretion and on a case-by-case basis.

Disclaimer of Warranties

As Is / As Available: The Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory. TMAwallet specifically disclaims any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of dealing or usage of trade.
No Financial Advice: TMAwallet is a technology provider, not a financial institution or advisor. Any information, tools, or functionality made available through the Services are not intended as investment, financial, or legal advice. Always conduct your own due diligence and consult qualified professionals when making financial decisions.

Limitation of Liability

Indirect Damages: To the fullest extent permitted by law, TMAwallet, its affiliates, and their respective directors, officers, employees, or agents shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Services.
Maximum Liability: In no event shall TMAwallet’s total liability for any claim arising out of or related to these Terms or the Services exceed the amount you have paid to TMAwallet in connection with the Services in the six (6) months preceding the claim.
Jurisdictional Limitations: Because some jurisdictions do not allow the exclusion or limitation of certain damages, the above limitations may not apply to you. In such jurisdictions, TMAwallet’s liability is limited to the greatest extent permitted by law.

Indemnification
You agree to indemnify, defend, and hold harmless TMAwallet, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorneys’ fees) arising from or relating to:

Your use of or access to the Services
Your breach of any term in these Terms
Your violation of any third-party right, including any intellectual property or privacy right

Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which TMAwallet is organized, without regard to conflict of laws principles.
Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms shall be settled by binding arbitration in accordance with the rules of the competent arbitration body. The arbitrator’s decision shall be final and binding, and judgment may be entered thereon in any court of competent jurisdiction.
Waiver of Class Actions: You agree to resolve any disputes on an individual basis, and that any claims brought under these Terms or in connection with the Services shall be brought only in your individual capacity, and not as a class action plaintiff or class member in any purported class or representative proceeding.

Termination

Termination by TMAwallet: We may, in our sole discretion, terminate or suspend your access to the Services at any time and for any reason, including your violation of these Terms.
Effects of Termination: Upon termination, all licenses and other rights granted to you in these Terms will immediately cease. You are solely responsible for exporting any data you need from the Services prior to termination.

Changes to These Terms
We reserve the right to update or modify these Terms at any time. When we do, we will revise the “Last updated” date at the top of this document. If you continue to use the Services after any modifications, you accept the updated Terms. If you do not agree, you must stop using the Services.
Miscellaneous

Entire Agreement: These Terms and our Privacy Notice constitute the entire agreement between you and TMAwallet regarding the Services and supersede all prior agreements.
No Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Assignment: You may not assign any of your rights or delegate any obligations under these Terms without our prior written consent. We may freely assign our rights or delegate our obligations.
Notices: Any notices or other communications provided by TMAwallet under these Terms may be given via email, posting on the Website, or other reasonable means.
